1. Acceptance of Terms
Welcome to DHL RateFlow. By installing, accessing, or using our Shopify app, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and DHL RateFlow ("we," "us," or "our"). Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Important: DHL RateFlow is an independent third-party application. We are not affiliated with, endorsed by, sponsored by, or connected to DHL International GmbH or Shopify Inc.
2. Description of Service
DHL RateFlow is a Shopify app that provides real-time DHL Express shipping rate calculations for your online store. The Service includes:
- Real-time integration with DHL's API to calculate shipping rates
- Display of DHL shipping options to customers at checkout
- Management of rate calculation settings and preferences
- Usage tracking and API rate limit management
- Premium features such as analytics and custom packaging (based on subscription plan)
2.1 What the Service Does NOT Include
- Actual shipping services (provided by DHL Express)
- Label generation or printing
- Package tracking
- Direct DHL account management
- Customs documentation or international shipping compliance
3. User Requirements
To use DHL RateFlow, you must:
- Have an active Shopify store
- Have a valid DHL Express account with API access credentials
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the authority to bind your business to these Terms
- Provide accurate and complete information during setup
- Comply with all applicable laws, including data protection and consumer protection laws
DHL API Credentials Required: You must obtain API credentials directly from DHL Express support. We cannot provide these credentials. Contact DHL to request API access for your account.
4. Subscription Plans and Billing

4.2 Free Trial
- The free trial lasts for 3 days from installation
- Limited to 25 rate API calls during the trial period
- No credit card required for the trial
- Trial automatically ends after 3 days or 25 API calls, whichever comes first
- You may upgrade to a paid plan at any time during the trial
4.3 Billing Terms
- Billing Cycle: All paid plans are billed monthly through Shopify's billing system
- Payment Method: Charges appear on your Shopify account billing
- Automatic Renewal: Subscriptions renew automatically unless cancelled
- Price Changes: We will notify you 30 days before any price increases
- Taxes: Prices exclude applicable taxes, which will be added as required by law
4.4 API Usage Limits
- Each plan includes a specific number of rate API calls per month
- Unused calls do not roll over to the next month
- If you exceed your limit, rate calculations will be temporarily suspended until:
- The next billing cycle begins, or
- You upgrade to a higher plan
- Enterprise plan includes unlimited API calls
4.5 Cancellation and Refunds
- Cancellation: You may cancel your subscription at any time through your Shopify admin
- Effect of Cancellation: Service continues until the end of your current billing period
- No Pro-Rated Refunds: We do not offer pro-rated refunds for partial months
- Refund Exceptions: Refunds may be issued at our sole discretion in cases of:
- Service outage lasting more than 24 hours
- Billing errors
- Extenuating circumstances reviewed on a case-by-case basis
5. User Conduct and Acceptable Use
5.1 Permitted Use
You may use DHL RateFlow solely for:
- Calculating real-time DHL shipping rates for your legitimate e-commerce business
- Displaying accurate shipping options to your customers
- Managing your shipping configuration and settings
5.2 Prohibited Activities
You agree NOT to:
- Reverse engineer, decompile, or disassemble the Service
- Use automated scripts or bots to abuse the API
- Share your API credentials with unauthorized parties
- Use the Service for illegal purposes or to violate any laws
- Attempt to bypass usage limits or restrictions
- Resell or sublicense the Service without written permission
- Use the Service to spam or harass customers
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to our systems
5.3 Compliance with DHL Terms
You must comply with all DHL Express terms and conditions. You are responsible for:
- Maintaining a valid DHL account in good standing
- Ensuring you have the right to use DHL's services
- Complying with DHL's shipping restrictions and prohibited items list
- Paying DHL directly for actual shipping services
6. Intellectual Property
6.1 Our Ownership
DHL RateFlow and all related intellectual property, including but not limited to software, design, text, graphics, logos, and trademarks, are owned by or licensed to us. You may not copy, modify, distribute, or create derivative works without our written permission.
6.2 Third-Party Trademarks
DHL®, DHL Express®, and related marks are trademarks of DHL International GmbH. Shopify® is a trademark of Shopify Inc. We use these marks solely to describe our integration with their services. We are not affiliated with, endorsed by, or sponsored by these companies.
6.3 Your Data
You retain all rights to your data (shop information, settings, configuration). By using the Service, you grant us a limited license to use your data solely to provide the Service as described in our Privacy Policy.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We specifically disclaim all warranties, including but not limited to:
- Merchantability: No guarantee the Service is suitable for your specific needs
- Fitness for a Particular Purpose: No guarantee the Service will meet your requirements
- Non-Infringement: No guarantee the Service doesn't infringe third-party rights
- Accuracy: No guarantee shipping rates are 100% accurate (rates are provided by DHL)
- Availability: No guarantee of uninterrupted or error-free service
- Security: No guarantee of absolute security (though we implement industry-standard measures)
Important: Shipping rates are calculated by DHL's API. We cannot guarantee the accuracy of rates provided by DHL. Always verify rates directly with DHL if you have concerns.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Errors in rate calculations (provided by DHL API)
- Service interruptions or downtime
- Unauthorized access to your data (despite our security measures)
- Acts of third parties (including DHL, Shopify, or hackers)
8.1 Maximum Liability Cap
Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.
8.2 Exceptions
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded by law
9. Indemnification
You agree to indemnify, defend, and hold harmless DHL RateFlow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights (including DHL or Shopify)
- Any inaccurate or misleading information you provide
- Your violation of applicable laws
- Claims by your customers related to shipping rates or services
10. Service Availability
10.1 Uptime
While we strive for high availability, we do not guarantee uninterrupted service. Downtime may occur due to:
- Scheduled maintenance (we'll provide advance notice when possible)
- DHL API outages (outside our control)
- Shopify platform issues (outside our control)
- Technical difficulties or server issues
- Force majeure events (see Section 13)
10.2 Service Modifications
We reserve the right to:
- Modify, update, or discontinue features at any time
- Change API rate limits or subscription plans (with 30 days notice)
- Suspend service for maintenance or security reasons
11. Termination
11.1 Termination by You
You may terminate your use of the Service at any time by:
- Uninstalling the app from your Shopify store
- Canceling your subscription through Shopify admin
- Contacting support to request account closure
11.2 Termination by Us
We may suspend or terminate your access to the Service if:
- You violate these Terms
- Your account is inactive for more than 12 months
- You engage in fraudulent or illegal activity
- You fail to pay subscription fees
- Your DHL account is suspended or terminated
- Required by law or court order
11.3 Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- You will not be charged for subsequent billing periods
- Your configuration data will be retained for 30 days (you may request immediate deletion)
- Usage logs will be retained for 90 days for analytics and auditing
- You may re-subscribe at any time
12. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge that:
- We collect and process data as described in the Privacy Policy
- You have obtained necessary consents from your customers (if required)
- You comply with applicable data protection laws (GDPR, CCPA, etc.)
- You are responsible for your own compliance with privacy laws
13. Force Majeure
We shall not be liable for any failure to perform our obligations due to events beyond our reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, fires)
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Third-party service outages (DHL API, Shopify, hosting providers)
- Pandemics or public health emergencies
14. Dispute Resolution
14.1 Informal Resolution
Before filing any formal claim, you agree to first contact us at support@dhlrateflow.com to attempt to resolve the dispute informally. We will respond within 30 days.
14.2 Arbitration
If informal resolution fails, any disputes shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization] rather than in court, except where prohibited by law.
14.3 Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in [Your Jurisdiction], and you consent to the personal jurisdiction of such courts.
16. Changes to These Terms
We may update these Terms from time to time. When we do:
- We will update the "Last Updated" date at the top
- For material changes, we will notify you via email or in-app notification
- Changes become effective 30 days after notification (or immediately for legal compliance)
- Your continued use after changes constitutes acceptance
- If you don't agree with changes, you may terminate your subscription
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DHL RateFlow regarding the Service and supersede all prior agreements and understandings.
19. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
20. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any successor or affiliate without restriction.
22. Acknowledgment and Acceptance
BY INSTALLING, ACCESSING, OR USING DHL RATEFLOW, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
